TERMS OF SALE

  1. Introduction

Please read these Terms of Sale carefully before buying products or services from Rolla. These Terms of Sale, together with our Terms and conditions and Privacy Notice where applicable, govern your purchase of the Rolla Band, any associated software or services.

You are contracting with Rolla Holdco Limited (company no. 15291645), registered at 2 New Bailey, 6 Stanley Street, Salford, Greater Manchester, United Kingdom, M3 5GS. (the “Rolla”) Email: privacy@rolla.app.

By placing an order, you confirm you have the legal capacity and authority to enter these Terms of Sale. If you buy on behalf of a company or other organisation, you confirm you are authorised to bind that organisation and that references to “you” include that organisation. By ordering you also confirm you have read and agree to these Terms of Sale.

Some store pages may be co-branded with third parties. Unless a product page expressly says otherwise, such partners are only involved in branding or promotion and are not the seller or payment collector. Your contract is with Rolla Holdco Limited.

The Rolla Band is sold together with access to the Rolla App and related software features. Where use of the Rolla App or any service requires agreement to the App Terms and conditions or the Privacy Notice, those documents apply and are incorporated into these Terms of Sale. 

  1.  Scope 

These Terms of Sale govern purchases from our online store and use of our public website. The Rolla App and any accompanying software or data features are governed by our App Terms and conditions and Privacy Notice where stated. Some products may be sold or fulfilled by third parties. Unless a product page says otherwise, Rolla is the seller. 

  1. Availability

All products on the store are offered subject to availability. We may limit quantities, reject or cancel orders, or stop selling any product at any time without notice. Product descriptions, images, prices, promotions and availability are for guidance only. Prices, offers and coupons may change. If a product is listed at an obvious error price, we may cancel the order and refund any payment. You are responsible for complying with any applicable local laws (for example, age or import rules). To the extent permitted by applicable law, Rolla is not liable for inaccuracies in listings or for delays caused by events beyond our control.

  1. Pricing

Prices are shown in the currency for your selected location and include the product price plus any applicable taxes and shipping (less any discounts). International customers are responsible for any import duties, customs or local taxes. We may change prices at any time, but price changes do not affect orders we have already accepted. If a product is listed at an incorrect price (for example, due to a typographical or supplier error), we may refuse or cancel the order and refund any amount charged to your payment method. 

  1. Payment

For all orders, Rolla calculates and charges and other applicable taxes in accordance with applicable law. By providing a credit/debit card or other payment method accepted at checkout, you represent and warrant that you are authorised to use that payment method and you authorise Rolla (or our payment processor) to charge it for the total amount of your order (including taxes, duties, fees and delivery charges). If the payment method you provide cannot be verified, is invalid, or is otherwise not acceptable, we may suspend or cancel your order. You must resolve any payment problem we notify you of before we proceed with your order. You may update payment information in your Rolla Account or by contacting us at privacy@rolla.app

We may collect payments directly or via third-party payment processors. We are not responsible for errors or interruptions caused by a payment processor. 

We reserve the right to correct pricing or billing errors and to refuse or cancel orders affected by such errors. Where a cancelled order has been charged, we will promptly refund the charged amount.

  1.  Delivery

Carriers and delivery methods are shown at checkout, while tracking is provided where available. Delivery charges are shown at checkout and international orders may incur import duties, taxes or customs fees payable by you. Any delivery or arrival dates shown are estimates only and are not guaranteed. Rolla is not liable for late deliveries except as required by applicable law. Please ensure your delivery details are correct. We are not responsible for delays or loss caused by incorrect information. We may charge reasonable return or re-shipment fees. Inspect deliveries on receipt and report any missing or damaged items to privacy@rolla.app within 10 days of delivery. 

  1.  Withdrawal 

If you are a consumer, you may cancel your contract and return products for any reason within 14 days of delivery. To exercise this right, notify us by email at privacy@rolla.app within the 14-day period and return the goods within a further 14 days. Unless the goods are faulty or not as described, you are responsible for the cost of return shipping. We will refund the price you paid for the goods and the standard outbound delivery charge (where applicable) within 14 days of receiving the returned goods. We may reduce the refund to reflect any diminished value resulting from handling beyond what is necessary to establish the condition, nature and functioning of the goods. If you purchased through an authorised distributor or partner, please contact that seller for returns and refunds in accordance with their policy.

  1.  Return 

In addition to the previous clause, Rolla offers a voluntary 30-day return policy for the Rolla Band subject to the following: the item must be returned within 30 days of receipt, in resalable condition and accompanied by all original packaging and materials. Return shipping costs for voluntary returns are borne by you and refunds are issued (less return shipping) once we have received and inspected the returned goods. 

  1. Warranties

As a consumer you have legal rights under applicable law and nothing in these Terms of Sale is intended to limit or remove those rights. We do not exclude or limit our liability to you where it would be unlawful to do so.

Except for any express limited warranties set out below or elsewhere (for example in the Rolla Band warranty or our Terms and conditions), and to the extent permitted by applicable law, the store and all products, services and content available through the store are provided “as is” and “as available” without any other warranties or conditions, express or implied. To the fullest extent permitted by law, we exclude implied warranties of satisfactory quality, fitness for a particular purpose, title and non-infringement.

The Rolla Band and the Rolla App are not medical devices and are not intended for diagnosis, treatment, prevention or cure of any disease or medical condition. Metrics, insights and other outputs are estimates provided for general wellness and informational purposes only and should not be relied upon as medical or health advice.

  1.  Limitation of liability

To the maximum extent permitted by applicable law, Rolla’s liability to you for any loss or damage arising in connection with these Terms of Sale or your purchase, possession or use of any product is limited to the amount you paid for the product that gives rise to the claim. We are not liable for any indirect, incidental, special, exemplary, punitive or consequential losses (including, without limitation, loss of profits, loss of business, loss of data, loss of use, or business interruption) arising out of or in connection with the products, whether in contract, tort (including negligence), statute or otherwise. Nothing in these Terms seeks to exclude or limit liability that cannot be excluded or limited by applicable law.

Rolla will not be liable for any failure or delay in performing its obligations under these Terms to the extent that such failure or delay is caused by an event beyond our reasonable control, including but not limited to acts of God, industrial action, civil commotion, terrorist act, war, fire, explosion, storm, flood, earthquake, epidemic or pandemic, failure of public or private telecommunications networks, or impossibility of means of transport. 

  1. Data protection

By placing an order you acknowledge and agree that Rolla and our service providers may collect, store, use and disclose personal data supplied in connection with your order (including name, contact, payment and delivery information) for the purposes of processing and fulfilling orders, payment processing, fraud prevention, customs and import compliance, delivery, and after-sales support. We may share such information with third parties who help us provide products to you, such as payment processors, couriers, fulfilment partners and return processors.

Rolla will process your personal data in accordance with our Privacy Notice, which explains the categories of personal data we collect, the purposes and legal bases for processing, data transfers (including transfers outside the UK/EU), retention periods and your rights in relation to your data. Rolla may share personal data and other confidential business information with its affiliates where necessary for operational, administrative, or support purposes, including product fulfilment, customer service, analytics, compliance, and corporate management. Our primary affiliate is Rolla d.o.o. Mostar, located in Mostar, Bosnia and Herzegovina, Blajburških žrtava bb. Such sharing is conducted under appropriate data protection safeguards and confidentiality obligations consistent with applicable law and our Privacy Notice.

  1. Severability

If any provision of these Terms of Sale is found to be invalid by any court having competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms of Sale, which shall remain in full force and effect.

  1. Governing law & jurisdiction

These Terms of Sale and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) are governed by the laws of England and Wales. Subject to your statutory rights as a consumer, the courts of England and Wales have exclusive jurisdiction to settle any such dispute. If you are a consumer domiciled outside England and Wales and mandatory law gives you the right to bring proceedings in your local courts, you may bring proceedings either in your local courts or in the courts of England and Wales.

  1. Our EU Representative

We are based outside the European Union (EU). Under both the EU General Data Protection Regulation (EU GDPR) and the EU Digital Services Act (DSA), we are required to appoint an EU representative.

The purpose of an EU representative is to make it simple for individuals and authorities within the EU to contact us regarding:

  • the exercise of their data protection rights, or

  • any questions, complaints, or requests concerning our processing of personal data (under the GDPR), or

  • any questions or requests related to our obligations under the DSA.

Our EU representative for both the GDPR and the DSA is Data Protection Representative Limited (DataRep).
